End-User License Agreement (EULA) for Non-Commercial Use

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE.

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or an entity) and Daytona Platform, Inc. ("Licensor") for the software product(s) identified as Daytona ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA.

1. GRANT OF LICENSE

1.1. License Grant: Licensor grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software for non-commercial purposes only.

1.2. Restrictions: You may not distribute, sell, rent, lease, or otherwise commercially exploit the Software. You may not reverse engineer, decompile, disassemble, or attempt to access the source code of the Software.

2. INTELLECTUAL PROPERTY

2.1. Ownership: The Software is licensed, not sold. All rights, title, and interest in the Software, including any copyrights, trademarks, and other intellectual property rights, are owned by Licensor.

2.2. Copyright: The Software is protected by copyright laws and international copyright treaties. You must treat the Software like any other copyrighted material.

3. SUPPORT AND UPDATES

Licensor may provide updates, patches, or other support services at their discretion. These updates may be subject to additional terms.

4. TERMINATION

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from Licensor if you fail to comply with any terms of this agreement.

5. DISCLAIMER OF WARRANTY

The Software is provided "as is" without any warranty. To the maximum extent permitted by applicable law, Licensor disclaims all warranties, either express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

6. LIMITATION OF LIABILITY

Licensor shall not be liable for any indirect, special, incidental, or consequential damages arising out of the use or inability to use the Software, even if Licensor has been advised of the possibility of such damages.

7. GOVERNING LAW

This EULA shall be governed by and construed in accordance with the laws of Delaware.

8. ENTIRE AGREEMENT

This EULA constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior and contemporaneous agreements, representations, and understandings.
